4. Separate Agreements Control

References to government agencies, contract vehicles, standards, frameworks, certifications, socioeconomic designations, technologies, or partner relationships are descriptive only and must not be interpreted as government endorsement, award, authorization, certification, continuing status, or a representation beyond the precise statement made.
5. Permitted Use
AYJ Solutions grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for lawful personal, informational, procurement, or legitimate business purposes, subject to these Terms. You may print or download a reasonable number of Website pages for internal evaluation or recordkeeping, provided you retain proprietary notices and do not modify or misrepresent the materials.
6. Prohibited Conduct

To the maximum extent permitted by law, the total aggregate liability of AYJ Solutions for all claims arising from or related to the Website or these Terms will not exceed one hundred U.S. dollars (US $100). These limitations do not apply to liability that cannot lawfully be excluded or limited. A signed written agreement governing paid services may provide different remedies and limitations for those services.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless AYJ Solutions and its owners, officers, employees, affiliates, agents, licensors, and vendors from claims, damages, judgments, losses, liabilities, costs, and reasonable attorneys\u2019 fees arising from your violation of these Terms, unlawful or unauthorized use of the Website, infringement or misuse of another party\u2019s rights, or information or materials you submit. AYJ Solutions may control the defense of a covered claim, and you agree to provide reasonable cooperation. This Section does not require a government entity to assume an obligation prohibited by applicable law.
15. Suspension and Termination
AYJ Solutions may restrict, suspend, or terminate your access to the Website when we reasonably believe you violated these Terms, created security or legal risk, interfered with the Website, or when necessary to protect AYJ Solutions or others. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, limitation-of-liability, indemnification, governing-law, and miscellaneous provisions.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except to the extent federal law applies. Unless applicable law requires otherwise, any dispute arising from the Website or these Terms must be brought exclusively in the state or federal courts located in Wayne County, Michigan, and each party consents to personal jurisdiction and venue there. This Section does not override mandatory procurement rules, sovereign-immunity principles, or dispute procedures in an applicable government contract.
17. Changes to These Terms
AYJ Solutions may update these Terms by posting a revised version on the Website and changing the effective date. Changes apply prospectively when posted unless a later date is stated. Your continued use of the Website after the effective date constitutes acceptance of the revised Terms. Material changes will receive additional notice when required by law.
18. Miscellaneous
Entire agreement. These Terms and the Privacy Policy are the entire agreement regarding use of the Website, except that a signed written agreement controls as described in Section 4.
Severability. If a provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.
No waiver. Failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.
Assignment. You may not assign these Terms without AYJ Solutions\u2019 written consent. AYJ Solutions may assign them in connection with a reorganization, transaction, or transfer of the Website or relevant business.
No third-party beneficiaries. These Terms do not create enforceable rights for any third party.
Headings. Headings are for convenience and do not affect interpretation.
